Public Offer Agreement

Limited Liability Company “Jino” (LLC “Jino”), hereinafter referred to as the “Provider”, represented by General Director Vasiliy Ivanov, acting on the basis of the Charter, publishes this Public Offer Agreement (hereinafter referred to as the “Agreement”) and offers any individual or sole entrepreneur (hereinafter referred to as the “Customer”) to conclude this Agreement on the following terms and conditions.

This Agreement is a public offer in accordance with Articles 387 and 398 of the Civil Code of the Kyrgyz Republic.

The acceptance of this offer is the registration of the Customer on the website https://nightscout-easy.com and/or the actual use of the functionality of the Website.

1. Subject of the Agreement

1.1. The Provider undertakes to grant the Customer access to and the ability to use the services of the website https://nightscout-easy.com, including but not limited to:

• provision of an account and Personal Cabinet;
• provision of technical capability to use the monitoring services;
• additional services listed on the Website.

1.2. The Customer undertakes to pay for the services of the Provider in the manner and under the conditions established by this Agreement and published on the Website.

1.3. The Provider does not provide individual consultations beyond the scope of the services offered.

2. Conclusion of the Agreement

2.1. The Agreement is concluded by the Customer joining this Agreement in its entirety, without any conditions, exceptions, or reservations.

2.2. The acceptance of this offer shall be the actions of the Customer in registering on the Website and/or the actual use of the Website services.

2.3. From the moment of acceptance, the Agreement is deemed concluded in written form between the Customer and the Provider.

3. Rights and Obligations of the Parties

3.1. The Provider undertakes to:

• provide the Customer with access to the Website services;
• ensure the proper functioning of the Website, except during scheduled maintenance;
• provide technical support on business days from 09:00 to 18:00 (until 17:00 on Fridays) via email at support@nightscout-easy.com;
• refund payments made by the Customer in cases and in accordance with the conditions set out in this Agreement and Appendix No. 1 “Payment and Refund Policy”.

3.2. The Provider has the right to:

• amend the terms of services, tariffs, and payment rules by publishing updates on the Website;
• engage third parties to fulfill obligations under the Agreement;
• suspend the Website operation for maintenance or upgrades;
• restrict or block the Customer’s access to services in case of violation of this Agreement.

3.3. The Customer undertakes to:

• provide accurate and truthful data when registering;
• pay for services of the Provider on time;
• maintain the confidentiality of their login and password and not disclose them to third parties;
• refrain from using the Website in violation of Kyrgyz law or the rights of third parties;
• refrain from uploading malware, spam, or other actions disrupting the Website’s operation.

3.4. The Customer has the right to:

• use all services of the Website within the scope of their chosen plan;
• contact the Provider’s support service;
• terminate the Agreement by ceasing to use the Website and notifying the Provider.

4. Service Fees and Payment Procedure

4.1. The cost of services is determined by the tariffs published on the Website and is specified in Kyrgyz soms.

4.2. Payment for services is made on a 100% prepayment basis by transferring funds in favor of the Provider through the payment methods available on the Website.

4.3. Detailed rules for payment and refunds are set out in Appendix No. 1 “Payment and Refund Policy”, which forms an integral part of this Agreement.

5. Liability of the Parties

5.1. The Customer is liable for violation of the terms of the Agreement in accordance with Kyrgyz legislation.

5.2. The Provider may restrict the Customer’s access to services without refund in case of material breach of the Agreement.

5.3. The Provider is not responsible for:

• failures in the Internet network or the Customer’s equipment;
• actions of banks or payment systems;
• any mismatch between the Customer’s expectations and the actual functionality of the Website.

5.4. The Parties are released from liability for failure to fulfill obligations due to force majeure circumstances.

6. Intellectual Property

6.1. All rights to software, texts, graphics, and other objects posted on the Website belong to the Provider or its partners.

6.2. The Customer agrees not to copy, distribute, or use Website materials without the Provider’s written consent.

7. Privacy

7.1. The Provider processes the Customer’s personal data in accordance with the Privacy Policy published on the Website.

7.2. The Customer consents to the processing of their personal data by registering on the Website.

8. Term and Termination of the Agreement

8.1. The Agreement enters into force upon acceptance of the offer and remains valid until the Customer ceases to use the Website or until terminated.

8.2. The Provider may unilaterally amend the terms of this Agreement by publishing an updated version on the Website.

8.3. The Customer may refuse the services of the Provider by notifying via email at support@nightscout-easy.com and ceasing to use the Website.

9. Dispute Resolution

9.1. All disputes and disagreements shall be settled through negotiations.

9.2. If no agreement is reached, disputes shall be resolved in the competent courts of the Kyrgyz Republic at the location of the Provider.
